Changing your LLC’s name is a simple process as long as you follow all the instructions. It requires obtaining the authority to change the name. Then filing the Articles of Amendment to Articles of Organization along with a $25.00 filing fee. 

If you have more than one member in your company, review your operating agreement to determine if you have the authority to amend your articles of organization. If you have determined that you do have the authority to do so, you can update your records with the Division of Corporation of the State of Florida. Authority may be granted by a resolution of the Members of the Managers.

a. Go to Sunbiz and navigate to the “Forms & Fees” tab.

b. Click “Florida” beneath “Limited Liability Company (Florida and Foreign)”

c. Beneath “Florida LLC Forms,” click on “Amendment (PDF) to access a form called the Articles of Amendment to the Articles of Organization.

a. Fill out the Cover Letter with your company’s details.

  • If you need help finding the information needed for the cover letter, you can search Sunbiz for your company’s records.

b. On the first page of the application, in Section A, you’ll see a line stating, “If amending name, enter the new name of the limited liability company here.”  Here, you’ll enter the new name of your LLC and it must include the words LLC or Limited Liability Company at the end of your name. Make sure to check Sunbiz to make sure the name is available.

c. If there are no other changes, leave the rest of the filing blank.

d. Have a Member or Authorized Representative of the LLC sign and date the last page.

e. Print the signed and dated document and mail it along with a $25.00 check made payable to the Florida Department of State to:

               Registration Section

               Division of Corporations

               P.O. Box 6327

               Tallahassee, Florida 32314

f. You’ll receive a letter of acknowledgment in the mail once the Amendment has been processed by the Florida Department of State. You can also check by searching your company records on Sunbiz by entering your Florida LLC’s name and reviewing the changes that have been applied.
