Florida’s Division of Corporations requires every business operating within the state to file an annual report by 11:59 on May 1st of each year. There are a lot of companies out there who will take care of this for you for an additional cost – sometimes hundreds of dollars on top of the filing fee – when the process is, in fact, fairly simple. You’re more than capable of doing it yourself in five or ten minutes by following the instructions we’ve included below. All you’ll need is a credit card to pay the annual report filing fee, your company’s Document Number, and if this is your first time filing, your business’s Federal Employer Identification Number.

Not filing on time could mean incurring a $400.00 Late Penalty Fee in addition to the annual report filing fee. Not filing at all will cause your business to be administratively dissolved by the state of Florida, and you’ll need to pay even more money and fill out even more paperwork if you want to get it reinstated.

  1. Find your business on Sunbiz by visiting the Florida State Division of Corporation’s website.
  2. Once you find your business name, write down the Document Number.
  3. If this is your first time filing, you will also need your Federal Employer Identification Number.

Q: What is an annual report?

Your company’s annual report is used to update or confirm the Florida Department of State, Division of Corporations’ records. One must be filed each year in order for your business to maintain “active status” with the Department, whether or not you need to make any alterations.

Failure to file an annual report by the third Friday of September will cause your business to be administratively dissolved and revoked from the Department’s records the following Friday.

  • Adding, deleting, or changing the names and/or addresses of any officers, directors, managers, or authorized members. General partners can only have their addresses amended. 
  • Changing the registered agent and the registered office address.
  • Changing the company’s principal office address and its mailing address. 
  • Adding or changing the federal employer identification number.

A business cannot, however, change its name when filing its annual report.

Limited liability companies and corporations have the option of filing an amended annual report if they wish to make changes after the initial filing. The filing fee for corporations is $61.25, while the filing fee for LLCs is $50.00. Limited partnerships and limited liability limited partnerships, on the other hand, must complete and file an amendment form
